Software License Agreement

Please read the terms and conditions of this Agreement applicable to the software indicated below (hereinafter referred to as "Software" or "Sony Software"), which is provided for use with the LocationFree(TM) Base Station (hereinafter referred to as the "Product").

Software: Remote Controller of LocationFree(TM) Player for PSP(TM) (PlayStation(R) Portable).

These terms and conditions are deemed accepted and agreed by and between the user of the Software (hereinafter "User") and Sony Corporation, having its principal place of business at 1-7-1 Konan, Minato-ku, Tokyo, Japan (hereinafter "Sony"), upon the commencement of the use by User of the Product.

YOU MAY USE THE SONY SOFTWARE ONLY IN CONNECTION WITH THE USE OF THE PRODUCT. BY INSTALLING, COPYING OR OTHERWISE USING THE SONY SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, SONY IS UNWILLING TO LICENSE THE SONY SOFTWARE TO YOU. IN SUCH EVENT, YOU MAY NOT USE OR COPY THE SONY SOFTWARE,

Article 1 (License)

1-1 Sony hereby grants User a non-exclusive and non-transferable license to use the Software and the related documents, including but not limited to the operation manuals for the Software (hereinafter such Software-related documents are referred to as "Document"), in accordance with this Agreement.
1-2 User cannot sub-license or transfer any rights granted hereunder to any third party or allow software to be subject to any charge, lien or encumbrance without the prior written consent of Sony.
1-3 User hereby acknowledges that all intellectual property rights, including but not limited to copyrights, in and to the Software and the Documents shall belong to Sony and its licensors who have granted Sony licenses under their intellectual property rights with respect to the Software (hereinafter such licensors are referred to as "Licensors"). User further acknowledges that User shall have no right in or to the Software or the Documents other than rights explicitly granted hereunder.
1-4 From time to time, Sony may update or otherwise modify the Software, for example for purposes of enhancement of security functions, error correction and improvement of updating functions at such time as you interact with Sony or Sony's designee's server(s). Any such updates/modifications shall be deemed Software herein.

Article 2 (Use of the Software)

2-1 User may download and store the Software on a recording media owned by User. User shall install and use the Software solely on the unit on which User downloaded and stored the LocationFree Player and that is owned by User (by connecting the recording media to it) solely for purpose of controlling the Product owned by User through a network in accordance with the instructions set forth in the Documents.
2-2 To the necessary extent for User to use the Software, User can refer to and implement any instructions set forth in the Documents in respect of the Software.
2-3 User shall not copy, reproduce, duplicate, change, remove anything from or add anything to a part or all of the Software or the Documents.
2-4 User shall use the Software for User's personal use purposes only. User shall not distribute, grant a license, lend or lease the Software for any business or commercial purpose.
2-5 User shall not disassemble, decompile, reverse-engineer or otherwise analyze or alter the Software [[For user in Belgium, the Netherlands, the United Kingdom, France, Luxembourg] except where expressly permitted by law.]

Article 3 (Disclaimer and Limitation of Liability)

3-1 THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. HEREINAFTER, SONY, ITS AFFILIATES AND THEIR RESPECTIVE LICENSOR'S SHALL BE COLLECTIVELY REFERRED TO AS "SONY". SONY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. SONY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY IN CONNECTION WITH MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ANY REQUIRED OR PURPORTED QUALITY OF THE SOFTWARE [[FOR USER IN BELGIUM, THE NETHERLANDS, THE UNITED KINGDOM, FRANCE, LUXEMBOURG] TO THE EXTENT SUCH DISCLAIMER IS APPROVABLE OR PERMISSIBLE UNDER APPLICABLE LAWS]. FURTHERMORE, SONY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR A SONY AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
3-2 TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS SONY SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY RELATED TO THIS SOFTWARE. SUCH DAMAGES INCLUDE, BUT ARE NOT LIMITED TO, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE PRODUCT OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER'S TIME, EVEN IF SONY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Article 4 (Confidentiality)

4-1 Any information which is related to (i) the Software, (ii) the Documents or (iii) this Agreement and not publicly available shall be kept by User confidential and User shall not disclose such information to any third party without prior written approval from Sony.

Article 5 (Termination)

5-1 User hereby agrees that Sony reserves the right to terminate this Agreement immediately when User breaches this Agreement or fails to perform User's obligations under this Agreement.
5-2 User hereby agrees to indemnify and hold harmless Sony and the Licensor from and against any cost, expense, loss, damage, claim and liability arising from or in connection with User's breach of this Agreement or failure to perform User's obligations under this Agreement.
5-3 Within two (2) weeks from the termination of this Agreement, User shall destroy all the Software and the Documents and submit to Sony a proof document of such destruction satisfactory to Sony.

Article 6 (Applicable Law)

6-1 This Agreement and the documents annexed as appendices to this Agreement or otherwise referred to herein contain the whole agreement between the parties relating to the subject matter hereof and supersede all prior agreements, arrangements and understandings between the parties relating to that subject matter. Should any portion of this Agreement be declared null and void by operation of law, or otherwise, the remainder of this Agreement shall remain in full force and effect. Any amendment, waiver or variation of this Agreement shall not be binding on the parties unless set out in writing, expressed to amend this Agreement and signed by or on behalf of each of the parties. No term of this Agreement is intended to confer a benefit on, or be enforceable by, any person who is not a party to this Agreement. This Agreement shall be binding upon the parties' authorized successor and assignees. Neither party's waiver of any breach or failure to enforce any of the provisions of this Agreement at any time shall in any way affect, limit or waive such party's right thereafter to enforce and compel strict compliance with the provisions of this Agreement.
